API TERMS OF USE

  1. These terms of use ("Terms") apply to and regulate your use of APIs, API Data and API Store (all defined below) provided by Eduvanz Financing Private Limited ("we" or "Eduvanz"). By undergoing the registration process to use the API Store, or using Eduvanz API service, you accept and agree to these Terms. If you do not accept these Terms, please stop accessing or using the abovementioned API services. These API Terms are in addition to and are incorporated into the Terms & Conditions and Privacy Policy which applies to all Eduvanz Users.
  2. To access and use Eduvanz’s online portal ("API Store") that provides access to selected application program interfaces ("APIs"), you must first register for such access and use. We may reject or accept your registration at our sole discretion.
  3. If you are an individual under the age of 18, you must obtain consent from your legal guardian(s) to access the API Store. Your guardian(s) must consent to take responsibility for all your actions when accessing the API Store or using an API including (but not limited to) any breaches of any policies, Terms, laws and regulations.
  4. As an individual, if you are using the API Store or API on behalf of an organisation, you represent and warrant that you have the required authority to bind that organisation to these Terms. In this case, references in these Terms to 'you' are references to you as an individual AND to that organisation.
  5. There are a rate limit and a restriction to the data fields displayed per application or service utilizing the API and you agree that you shall comply with that rate limit and restriction to the data fields at all times.
  6. You will ensure that all information you provide to Eduvanz is complete, accurate, up-to-date, true and not misleading in any way whatsoever.
  7. At any time and at our discretion, we may impose conditions on any use of the API Store and/ or reject your application and/ or remove your access at our sole discretion, without giving you any reasons.
  8. You must keep any username and password that we issue to you secure, only use it for the organisation on whose behalf you agreed to these Terms (if applicable) or only use it yourself, and must not disclose or transfer these details too, or otherwise allow these details to be used by, anyone else.
  9. You must not access or use our APIs and the data provided through APIs ("API Data") in any manner or for any purpose which has not been expressly approved by us in writing. For the avoidance of doubt you shall not:
    1. Sublicense an API for use by a third-party;
    2. Perform an action with the intent of introducing any viruses, worms, defects, Trojan horses, malware, or any items of a destructive nature;
    3. Defame, abuse, harass, stalk, or threaten others;
    4. Interfere with or disrupt the APIs or the servers or networks providing the APIs;
    5. Reverse engineer or attempt to extract the source code from any API or any related software, except to the extent that this restriction is expressly prohibited by applicable law; or
    6. Use the APIs for any activities where the use or failure of the APIs could lead to death, personal injury, or environmental damage (such as the operation of nuclear facilities, air traffic control, or life support systems).
  10. We may at any time change any or all of our APIs, and/or any API Data, without incurring any liability to you. For the avoidance of doubt, Eduvanz is not obliged to make any modifications, including without limitation any updates and/or upgrades and is not responsible for any errors or delays in the APIs, the API Store or the API Data. You acknowledge and agree that you will solely be responsible for any damages that arise from your use of the APIs, the API Store and API Data.
  11. If Eduvanz grants access to you for the use of an API and any API Data, access is granted on the basis of the Terms and for a personal, limited, non-exclusive, non-transferable and revocable (i.e. you are not permitted to license, sublicense or resell any API or API Data) license to the API and API Data.
  12. You acknowledge and agree to Eduvanz monitoring your access and use of the API Store, APIs and API Data. You agree to assist us in verifying your compliance with these Terms by providing access and use of your Applications to us on request, and other materials related to your use of the APIs or API Data.
  13. If an API contains software or code subject to Open-Source Licences, you shall use such an API in accordance with the terms of the applicable Open-Source Licences.
  14. You hereby warrant and undertake to us that you shall comply with the applicable laws and guidance on the protection of personal data and make it clear to your customers the associated risk and liability of your Application and services when collecting data from your customers.
  15. We will not be liable for any information of yours, in any form, that is submitted on the API Store ("Your Material"), including in relation to any loss, corruption or deletion of Your Material (including back-ups) whether arising as a consequence of our acts or omissions or otherwise. You shall grant us a non-exclusive, worldwide, royalty-free, irrevocable license to use, copy, publish, host and transmit Your Materials in connection with the provision of the API Store and/or APIs to you.
  16. You hereby warrant and undertake to us that you shall not upload any material which contains viruses, malicious or harmful components that may interfere with the operation of the API Store and/ or Eduvanz’s (or third-party’s) IT systems and/ or otherwise upload any material which is objectionable including, for example, unlawful, harassing, libelous, obscene or similar materials.
  17. You are responsible for all costs associated with your access or use of the API Store, the APIs, API Data and overall compliance with these Terms.
  18. Eduvanz owns all rights, title and interest (including any intellectual property rights) in and to the API Store (including any information on it, other than Your Materials), the APIs and API Data.
  19. You warrant and represent that you or your third-party licensors will own all rights, title and interest (including any intellectual property rights) in and to Your Materials, and you grant to Eduvanz (and its related companies) a non-exclusive and royalty-free license to use and copy Your Material for the purposes of facilitating and administering your access to and use of the API Store, the APIs and any API Data. You represent and warrant that the use of the Application by its users, our use and any copying of Your Material, will not violate or infringe the rights (including intellectual property rights) of any third-party.
  20. In the event that any enhancements, derivatives, changes, modifications, alterations or adaptations of or to the APIs or API Data in your Applications (collectively "Derivative Works"), are made, created, developed, or acquired by you, all rights, title and interest (including intellectual property rights), in and to such Derivative Works shall belong to Eduvanz. You shall take all steps necessary and all such actions to vest full ownership of such Derivative Works in Eduvanz.
  21. You consent to be involved in Eduvanz’s marketing and publicity activities concerning API. If you use an API that contains existing third-party advertising, you consent to the use of such third-party advertising in your Application.
  22. We may terminate your access to the API Store, the APIs and any API Data at any time.
  23. In the event of termination, Eduvanz may delete Your Material from the API Store and all rights (including licenses) granted to you under these Terms shall immediately cease, and you shall cease access and use of the API Store, API Data and APIs.
  24. You must comply with all applicable laws and regulations in your use of the API Store, the APIs and API Data.
  25. You may not assign or transfer your rights under these Terms, without Eduvanz’s written consent.
  26. If any part of these Terms is found by a court of India to be illegal, invalid or unenforceable, they shall be severed from, and will not affect the legality, validity or enforceability of, the remainder of these Terms.
